Authority and Responsibilities of Manager. Manager shall have the authority and responsibility to conduct, supervise and effectively manage the day-to-day operation of the Agency. In the absence of oral or written direction or written policies of the Board of Directors of the Agency (the "Board"), Manager shall be expected to exercise the reasonable judgment of a management company in its management activities. Manager shall specifically have responsibility and commensurate authority, subject to the direction of the Board to act on its behalf under this Agreement, in accordance with the written policies of the Board, and the budgets approved by the Board as hereinafter provided, for the following activities:
