Common use of Authority; No Other Action Clause in Contracts

Authority; No Other Action. (a) The execution, delivery and performance of this Agreement is within the Purchaser's powers and have been duly authorized on the Purchaser's part by all requisite corporate action. (b) No action by or in respect of, or filing with, any Governmental Authority is required for the execution, delivery and performance by the Purchaser of this Agreement.
