AUTHORITY TO ACCEPT THE TERMS. 2.1. The Licensee is an independent legal entity validly existing under the laws of its state/province/country and has full legal power and authority to enter into this Agreement and to carry out the provisions hereof. 2.2. The Licensee is duly authorized to execute and deliver this Agreement and to perform its obligations hereunder. 2.3. This Agreement is a legal and valid obligation binding upon it and enforceable according to its terms. The execution, delivery, and performance of this Agreement does not conflict with any agreement, instrument, or understanding, oral or written, to which the Licensee is a party or by which it may be bound, nor violate any law or regulation of any court, governmental body, or administrative or other agency having jurisdiction over it. 2.4. The Licensee is the sole owner of, or otherwise has sufficient rights to the Applications which comply with all relevant laws and other requirements where they are offered or used.
