Common use of Authority to authenticate Clause in Contracts

Authority to authenticate. The Registrar is authorised by the Issuer to authenticate the New Global Notes and the Definitive Note Certificates (if any) by the signature manually or in facsimile of any of its officers or any other person duly authorised for the purpose by the Registrar. Definitive Note Certificates so executed and authenticated shall be binding and enforceable obligations of the Issuer.
