Common use of Authority to Execute and Bind Clause in Contracts

Authority to Execute and Bind. Each of the parties hereto represents and warrants that the person executing this Agreement on its behalf has full and complete legal authority to do so and thereby bind that party. Each person whose signature is affixed below hereby warrants and represents that he/she is legally authorized and empowered to execute this Agreement on behalf of the designated party, and thereby bind that party.
