Common use of Authorization by Buyer Clause in Contracts

The execution and delivery of this Agreement by Buyer and the performance of the transactions contemplated herein shall have been duly authorized by the Buyer's managers and Seller shall have received copies of all resolutions of the managers pertaining to such authorization, certified by the Buyer's secretary.
