Common use of Authorization; Contravention Clause in Contracts

Authorization; Contravention. The execution, delivery and performance by ▇▇▇▇▇ Fargo of this Agreement and each Related Document to which it is a party are within ▇▇▇▇▇ Fargo’s powers, have been duly authorized by all necessary action, require no action by or in respect of, or filing with, any governmental body, agency or official except such as have been taken or made and do not violate or contravene, or constitute a default under, any provision of applicable law, charter, ordinance or regulation or of any material agreement, judgment, injunction, order, decree or other instrument binding upon ▇▇▇▇▇ Fargo.
