Authorization Limitations and Restrictions. Licensee shall not, and shall not permit any other Person to, access or use the Services or NCIT Materials except as expressly permitted by this Agreement and, in the case of Third Party Materials, the applicable third party license agreement. For purposes of clarity and without limiting the generality of the foregoing, Licensee shall not, except as this Agreement expressly permits:
(a) modify or create derivative works or improvements of the Services or NCIT Materials;
(b) copy the Software and Documentation, unless for archival or backup purposes only; in such case, all titles, trademarks, and copyright, proprietary and restricted rights notices shall be reproduced in all such copies, and all copies shall be subject to the terms of this Agreement;
(c) rent, lease, lend, sell, sublicense, assign, distribute, publish, transfer or otherwise make available any Services or NCIT Materials to any Person, including on or in connection with the internet or any time-sharing, service bureau, SaaS, cloud or other technology or service;
(d) reverse engineer, disassemble, decompile, decode, adapt or otherwise attempt to derive or gain access to the source code of the Services or NCIT Materials, in whole or in part;
(e) bypass or breach any security device or protection used by the Services or NCIT Materials or access or use the Services or NCIT Materials other than by an Authorized User through the use of such Authorized User’s own then valid Access Credentials;
(f) input, upload, transmit or otherwise provide to or through the Services or NCIT Systems, any information or materials that are unlawful or injurious, or contain, transmit or activate any Harmful Code;
(g) damage, destroy, disrupt, disable, impair, interfere with or otherwise impede or harm in any manner the Services, NCIT Systems or NCIT’s provision of services to any third party, in whole or in part;
(h) remove, delete, alter or obscure any trademarks, Documentation, Specification, warranties or disclaimers, or any copyright, trademark, patent or other intellectual property or proprietary rights notices from any Services or NCIT Materials, including any copy thereof;
(i) access or use the Services or NCIT Materials in any manner or for any purpose that infringes, misappropriates or otherwise violates any Intellectual Property Right or other right of any third party (including by any unauthorized access to, misappropriation, use, alteration, destruction or disclosure of the data of any other NCIT customer)...

Customer shall not, and shall not permit any other Person to, access or use the Services or Provider Materials except as expressly permitted by this Agreement. For purposes of clarity and without limiting the generality of the foregoing, Customer shall not, except as this Agreement expressly permits:

(d) bypass or breach any security device or protection used by the Services or Provider Materials or access or use the Services or Provider Materials other than by an Authorized User through the use of his or her own then valid Access Credentials;
(e) input, upload, transmit or otherwise provide to or through the Services or Provider Systems, any information or materials that are unlawful or injurious, or contain, transmit or activate any Harmful Code;
(f) damage, destroy, disrupt, disable, impair, interfere with or otherwise impede or harm in any manner the Services, Provider Systems or Provider’s provision of services to any third party, in whole or in part;

(i) access or use the Services or Provider Materials for purposes of competitive analysis of the Services or Provider Materials, the development, provision or use of a competing software service or product or any other purpose that is to the Provider’s detriment or commercial disadvant...

Credit Union shall not, and shall not permit any other person to, access or use the MPTR or CULedger Materials except as expressly permitted by this Agreement. (f) access or use the Services or Prelim Materials in any manner or for any purpose that infringes, misappropriates, or otherwise violates any Intellectual Property Right or other right Prelim or any third party or that violates any applicable Law;
(g) access or use the Services or Prelim Materials for purposes of competitive analysis of the Services or Prelim Materials, the development, provision, or use of a competing software service or product, or any other purpose that is to Prelim's detriment or commercial disadvantage;
(h) access or use the Services or Prelim Materials in, or in association with, the design, construction, maintenance, operation of any hazardous environments, systems, or applications, any safety response systems or other safety-critical applications, or any other use or application in which the use or failure of the Services could lead to personal injury or property damage; or
(i) otherwise access or use the Services or Prelim Materials beyond the scope of the authorization granted under Section 3.1.

(q) input, upload, transmit or otherwise provide any unlawful or injurious information or materials to the R1 Technology, including any virus, worm, malware, or other malicious computer code.

Licensee shall not, and shall not permit any other Person to, access or use the Services or Licensor`s Materials except as expressly permitted by this Agreement and, in the case of Third Party Materials, the applicable third party license agreement. For purposes of clarity and without limiting the generality of the foregoing, Licensee shall not, except as this Agreement expressly permits:
a) modify or create derivative works or improvements of the Services or Licensor`s Materials;

Intermountain Healthcare shall not, and shall not permit any other person to, access or use the R1 Technology except as expressly permitted by this Services Agreement or some other agreement between the Parties or with the consent of R1. Without limiting the foregoing, but subject to the foregoing exception, Intermountain Healthcare shall not:
(a) copy, modify or create derivative works of the R1 Technology or any part of such tools, except as permitted by or needed for this Services Agreement or that is otherwise a fair use or a non-infringing act under applicable law (but for the avoidance of doubt, Intermountain Healthcare may copy screen displays as needed for training or support purposes); or
(b) rent, lease, lend, sell, sublicense, assign, distribute, publish, transfer or otherwise make available the R1 Technology to any third party; or
(c) reverse engineer, disassemble, decompile, decode, adapt or otherwise attempt to discern or gain access to the source code of the R1 Technology, in whole or in part, except pursuant to this Services Agreement or an escrow agreement or the written permission of R1.
Authorization Limitations and Restrictions. Except as otherwise explicitly provided in the Terms or an applicable IO or as may be expressly permitted by applicable law, Customer will not, directly or indirectly, and will not permit or authorize third-parties or Authorized Users to: (i) reverse engineer, decompile, disassemble or otherwise attempt to discover the source code, object code or underlying structure of the Platform or Services; (ii)mine data from the Platform or Services; (iii) modify, translate, or create derivative works based on the Platform; (iv) rent, lease, or otherwise permit third-parties to use the Platform; (v) use the Services to provide services to any third-parties that have not been authorized by Provider; (vi) circumvent or disable any security or other technological features or measures of the Services or Platform; (vii) take any action to contest Provider’s Intellectual Property Rights or infringe them in any way; (viii) use the Platform for any illegal or unauthorized purpose; or (ix) remove any proprietary notices or labels.

Customer shall not, and shall not permit any other third party to, access or use the Services or Macromicro Materials except as expressly permitted by this Agreement and, in the case of Third-Party Materials, the applicable third-party license agreement. For purposes of clarity and without limiting the generality of the foregoing, Customer shall not, and shall ensure that its Authorized Users do not: (a) copy, translate, disassemble, decompile, reverse-engineer or otherwise modify any parts of the Services; (b) transmit any content, data or information that is unlawful, abusive, malicious, harassing, tortious, defamatory, vulgar, obscene, libelous; (c) invasive of another’s privacy or right of publicity, hateful, or racially, ethnically or otherwise objectionable; (d) infringe the intellectual property rights of any entity or person; (e) interfere with or disrupt the Macromicro Systems or other equipment or networks connected to the Services; (f) use the Services in the operation of a service bureau, outsourcing or time-sharing service; (g) circumvent or disclose the user authentication or security of the Services or any host, network, or account related thereto; or (h) make any use of the Services that violates any applicable Law.
