Common use of Authorization of Borrowing Clause in Contracts

Authorization of Borrowing. The execution, delivery and performance of each Loan Document to which it is a party, and acknowledgement of the ▇▇▇▇▇▇-▇▇▇▇▇ Subordination Agreement and the Mattel Sales Subordination Agreement and the issuance, delivery and payment of the Notes have been duly authorized by all necessary corporate action by the Company.

Authorization of Borrowing. The execution, delivery and performance of each Loan Document to which it is a party, and the acknowledgement of the ▇▇▇▇▇▇-▇▇▇▇▇ Subordination Agreement and the Mattel Sales each Guarantor Subordination Agreement and the issuance, delivery and payment of the Notes have been duly authorized by all necessary corporate action by the Company.
