Common use of Authorization of Governmental Authorities Clause in Contracts

Authorization of Governmental Authorities. No authorization, consent or approval by, or filing with, any Governmental Authority (other than in connection with the HSR Act and applicable Other Antitrust Laws) is required for, or in connection with, the authorization, execution, delivery, and performance by the Company of this Agreement and each Ancillary Agreement to which it is a party or the consummation of the Contemplated Transactions by the Company.

Authorization of Governmental Authorities. No action by (including any authorization, consent or approval byapproval), or in respect of, or filing with, any Governmental Authority (other than in connection with the HSR Act and applicable Other Antitrust Laws) is required for, or in connection with, the valid and lawful authorization, execution, delivery, and performance by the Company Buyer of this Agreement and each Ancillary Agreement to which it is a party or the consummation of the Contemplated Transactions by the CompanyBuyer.

No Except for compliance with the HSR Act, no action by (including any authorization, consent or approval byapproval), or in respect of, or filing with, any Governmental Authority (other than in connection with the HSR Act and applicable Other Antitrust Laws) is required for, or in connection with, the valid and lawful (a) authorization, execution, delivery, delivery and performance by the Company Buyer of this Agreement and each Ancillary Agreement to which it is a party or (b) the consummation of the Contemplated Transactions by the CompanyBuyer.

No Except for compliance with the HSR Act and as disclosed on Schedule 2.4, no action by (including any authorization, consent or approval byapproval), or in respect of, or filing with, any Governmental Authority (other than in connection with the HSR Act and applicable Other Antitrust Laws) is required for, or in connection with, the authorization, valid and lawful (a) execution, delivery, delivery and performance by the Company Sellers and the Companies of this Agreement and each Ancillary Agreement to which it is a party the Company Agreements or (b) the consummation of the Contemplated Transactions by the CompanySellers and the Companies.

Authorization of Governmental Authorities. No Except as may be required by the HSR Act, no extraordinary action by (including any non-customary authorization, consent or approval byapproval), or in respect of, or filing with, or notice to, any Governmental Authority (other than in connection with the HSR Act and applicable Other Antitrust Laws) is or was required for, or in connection with, the valid and lawful (a) authorization, execution, delivery, delivery and performance by Purchaser of the Company of this Agreement and each Ancillary Agreement Transaction Documents to which it Purchaser is a party or (b) the consummation of the Contemplated Transactions by the CompanyTransactions.
