Common use of Authorization of Merger Clause in Contracts

Authorization of Merger. All actions necessary to authorize the execution, delivery and performance of this Agreement and the Agreement of Merger by CWSG and Water Company and the consummation of the transactions contemplated hereby and thereby shall have been duly and validly taken by the respective Boards of Directors and Water Company shall have full power and right to merge pursuant to the Agreement of Merger.

Authorization of Merger. All actions necessary to authorize the ----------------------- execution, delivery and performance of this Agreement and the Agreement of Merger by CWSG and Water Company BOP and the consummation of the transactions contemplated hereby and thereby shall have been duly and validly taken by the respective Boards Board of Directors and Water Company shareholders of BOP, and BOP shall have full power and right to merge pursuant to the Agreement of Merger.

Authorization of Merger. All actions necessary to authorize the execution, delivery and performance of this Agreement and the Agreement of Merger by CWSG and Water Company Bank and the consummation of the transactions contemplated hereby and thereby shall have been duly and validly taken by the respective Boards Board of Directors and Water Company shareholders of Bank, and Bank shall have full power and right to merge pursuant to the Agreement of Merger.

Authorization of Merger. All actions necessary to authorize the execution, delivery and performance of this Agreement and the Agreement of Merger Related Agreements by CWSG and Water the Company and the consummation of the Merger and the other transactions contemplated hereby and thereby shall have been duly and validly taken by the respective Boards Board of Directors of the Company, and Water the Company and the Stockholders shall have full power and right to merge pursuant to effect the Agreement of MergerMerger on the terms provided herein.
