Common use of Authorization of Registration Statement Clause in Contracts

Authorization of Registration Statement. Each Limited Partner (or any assignee thereof) hereby agrees that the General Partner is authorized to execute, deliver and perform the agreements, acts, transactions and matters contemplated hereby or described in or contemplated by the Registration Statement on behalf of the Partnership without any further act, approval or vote of the Limited Partners of the Partnership, notwithstanding any other provision of this Agreement, the Act or any applicable law, rule or regulation.
