Common use of Authorization of Transactions Clause in Contracts

Authorization of Transactions. Seller has full corporate power and authority to execute and deliver this Agreement and to consummate the transactions contemplated hereby. This Agreement has been duly authorized, executed and delivered by Seller and constitutes the valid and binding agreement of Seller, enforceable against Seller in accordance with its terms, except as such enforcement may be limited by application of equitable remedies and principles and by insolvency, moratorium, bankruptcy, and similar laws.

Authorization of Transactions. Each Seller has full corporate power power, authority and authority legal capacity to execute and deliver enter into this Agreement and the other documents contemplated hereby to consummate the transactions contemplated herebywhich such Seller is a party and to perform its obligations hereunder and thereunder. This Agreement has been duly authorized, executed and delivered by such Seller and constitutes the valid and binding agreement of such Seller, enforceable against Seller in accordance with its respective terms, except as that such enforcement enforceability may be limited by application of equitable remedies and principles and by bankruptcy, insolvency, moratorium, bankruptcy, and moratorium or other similar lawslaws affecting or limiting the enforcement of creditor’s rights generally.

Authorization of Transactions. Seller has full corporate power and authority to execute and deliver this Agreement and to consummate the transactions contemplated hereby. The board of directors of Seller has duly approved this Agreement and has duly authorized the execution and delivery of this Agreement and the consummation of the transactions contemplated hereby. No other corporate proceedings on the part of Seller are necessary to approve and authorize the execution and delivery of this Agreement. This Agreement has been duly authorized, executed and delivered by Seller and constitutes the valid and legally binding agreement obligation of Seller, enforceable against Seller in accordance with its terms, except as such enforcement may be limited by application of equitable remedies and principles and by insolvency, moratorium, bankruptcy, and similar laws.
