Authorizations Required Clause Samples

The 'Authorizations Required' clause establishes that certain permissions, licenses, or approvals must be obtained before specific actions or obligations under the agreement can be performed. In practice, this may require a party to secure regulatory permits, third-party consents, or internal approvals prior to commencing work, delivering goods, or providing services. This clause ensures that all necessary legal and procedural steps are taken to avoid unauthorized activities, thereby reducing the risk of non-compliance and potential legal disputes.

If any required Permit obtained by Licensee is subsequently revoked or denied for any reason, Licensee shall retain the right to pursue and exhaust all legal, administrative, and equitable remedies, in any available forum, before Licensor may revoke Licensee’s right to attach the Equipment requiring such Permit to Licensor’s Structures or revoke Licensee’s right to occupy Licensor’s Conduits with the Equipment requiring such Permit.
