Authorized Reseller Sample Clauses

Authorized Reseller. Fees payable to Authorized Reseller shall be paid as set forth in the applicable Order. Customer shall pay all Fees due to LogRhythm within thirty (30) days from the date of the invoice unless otherwise specified in writing by LogRhythm. Customer shall be responsible for all applicable sales, VAT, use, and other taxes (excluding taxes based on LogRhythm’s income) and all applicable export and import fees, customs duties and similar charges. All Fees are non-refundable unless otherwise expressly stated herein. If Customer purchases product or services through an Authorized Reseller, price and payment terms are between Customer and the Authorized Reseller.

Authorized Reseller. Hill-Rom is an authorized reseller of certain third party equipment and Third Party Programs which may comprise the Product. Any such Product purchase is subject to the terms and conditions set forth in certain pass-through provisions or end user agreements from the applicable third party manufacturer or licensor. Suppliers of such products shall be deemed third-party beneficiaries of, and entitled to enforce the applicable provisions of this Agreement.

Authorized Reseller. (a) Vendor hereby appoints Reseller as a nonexclusive Authorized Reseller for its Products. Reseller may promote and sell Vendor's Products (or pass through software licenses, if applicable) through its affiliates at retail, including mail order, and electronic order, without geographic restrictions. The parties remain independent contractors; no agency, joint venture or other relationship is hereby created. (b) Vendor retains all proprietary and intellectual property rights (patents, copyrights, trade secrets, and trademarks) in the Products, except for the medium on which it is stored, and Vendor licenses Reseller to use its trademarks for advertising and marketing purposes in connection with the Products.

Authorized Reseller. Nuance has signed agreements with certain organizations (each, an “Authorized Reseller”) to promote, market and support certain Nuance Software, and to resell licenses of Nuance Software. Each such Authorized Reseller remains independent and separate from Nuance. Nuance is not responsible for the actions, statements or recommendations of Authorized Resellers or any obligations such Authorized Resellers have to Ordering Activity. In the event Ordering Activity purchases from an Authorized Reseller a license to Nuance Software and/or Support Services pursuant to an Order under this Agreement, the terms of this Agreement will be modified with respect to each such Order as follows: 9.1.1 Ordering Activity shall pay to such Authorized Reseller the license fees and Support Services fees related to each such Order. 9.1.2 In the event Ordering Activity is entitled to receive a refund in accordance with the provisions of Section 5.2, Ordering Activity shall obtain such refund from the Authorized Reseller upon Ordering Activity’s receipt of a return of the Nuance Software from Ordering Activity.

Authorized Reseller. During the term of this Agreement, DGC may indicate to End Users and to the public that it is an authorized reseller of MATERIAL.

Authorized Reseller. The Contractor shall be authorized by the manufacturer to sell and service all products included in Schedule A.

Authorized Reseller. Tactacam hereby grants to Reseller the non-exclusive right during the Term to sell the Products to the Customers in the Territory through the Authorized Channels. Capitalized terms used in this Section are defined in Schedule 1 unless otherwise defined in this Agreement. Except as set forth in this Agreement or otherwise approved by Tactacam in writing, Reseller shall not have any right to sell the Products.

Authorized Reseller. Authorized Reseller is independent entity separate from Nuance. Nuance is not responsible for the actions, statements or recommendations of Authorized Reseller or any obligations that Authorized Reseller has to Company.

Authorized Reseller. For purposes of this Agreement, "Authorized Reseller" means any third party that is authorized by PSIGEN to market, sell and distribute the Software, including, without limitation, PSIGEN's resellers and distributors, authorized affiliates of PSIGEN's resellers and authorized resellers of PSIGEN's distributors. If you purchased your Software license through an Authorized Reseller, PSIGEN is providing the Software pursuant to its agreement or contractual arrangement with (or relating to) such Authorized Reseller, and subject to the terms and conditions of this Agreement. You acknowledge and agree, however, that PSIGEN is not responsible for (i) any actions or omissions of such Authorized Reseller or any employees, representatives or other agents of such Authorized Reseller, (ii) any covenants or obligations of such Authorized Reseller under any applicable Purchase Order Documents or any maintenance, support and/or service contracts between you and such Authorized Reseller, (iii) any other or additional obligations that such Authorized Reseller may have to you, (iv) any other products or services that such Authorized Reseller may sell, provide or supply to you, regardless of whether you purchased the Software license through such Authorized Reseller as a stand-alone product or together with other products or services as part of a solution that contains and/or is used in conjunction with any of the Software (or any component(s) thereof), or (v) any alterations, modifications or repair to any of the Software (or any component(s) thereof) done by such Authorized Reseller without PSIGEN's prior written approval.
