Baseline Adjustment. If Chevron Energy Solutions proposes changes to the Facilities that would not unreasonably interfere with the conduct of Manhattan Beach USD's business or cause Manhattan Beach USD to incur additional costs, and Manhattan Beach USD does not consent to the changes, then Chevron Energy Solutions will adjust the Baselines upward by the amount of savings projected from the changes.
