BE IT RESOLVED THAT. The arrangement (the “Arrangement”) under Section 182 of the Business Corporations Act (Ontario) involving Globalive Technology Inc. (“GTI”) and Yooma Corp. (“Yooma” or together with GTI, the “Parties”), pursuant to the arrangement agreement between GTI and Yooma dated December 16, 2020, as it may be modified, supplemented or amended from time to time in accordance with its terms (the “Arrangement Agreement”), as more particularly described and set forth in the joint management information circular of the Parties dated ⚫, 2020 (the “Circular”), and all transactions contemplated thereby (including, for greater certainty, the Spin-Out and Reorganization Transactions (as defined in the Arrangement Agreement)), are hereby authorized, approved and adopted.
