Common use of Benefit; Assignment Clause in Contracts

Benefit; Assignment. This Agreement shall inure to the benefit of and be binding upon Employee, his heirs, executors and administrators, and upon Employer and its successors; but this Agreement may not be assigned by either party except (i) by operation of law upon a merger or consolidation of Employer into or with another corporation, or (ii) by Employer in connection with a sale of its business or any part thereof. Employee hereby expressly consents to any such assignment and agrees to render his services hereunder to any such assignee.
