Benefit; Assignment. This Agreement shall be binding upon and inure to the benefit of and shall be enforceable by Purchaser, the Shareholders and their respective successors and assigns. This Agreement may not be assigned by any party hereto without the prior written consent of the other parties, provided that Purchaser may assign this Agreement, in whole or in part, to one or more wholly-owned subsidiaries of Purchaser without the consent of the Shareholders.
