Common use of Benefit of Deed Clause in Contracts

Benefit of Deed. 18.1 This Deed shall be binding upon and enure to the benefit of each party hereto and its successors and permitted assigns. 18.2 Except in the circumstances contemplated by the provisions of paragraph 3(c) of Schedule 7 (Covenants), the Transferor in its capacity as such shall not be entitled to assign or transfer all or any of its rights, benefits and obligations hereunder. The Receivables Trustee agrees that it shall, at the expense of the Transferor execute such documents as the Transferor may reasonably require to effect the matters permitted pursuant to paragraph 3(c) of Schedule 7 (Covenants).
