Benefits Of The Program. This Interplant Job Opportunity Program is designed to provide a covered employee opportunities for transfers to other Company plants in the event of extended layoff with a Relocation Allowance payable for certain changes of residence required to enable laid off employees to accept new employment with the Company.
Benefits Of The Program. Upon becoming a Polycom VoIP Interoperability Partner, Manufacturer will receive the following benefits: (a) Use of Program Marks. Manufacturer will be entitled to refer to itself as a Polycom VoIP Interoperability Partner, and to refer to Certified VoIP Equipment as “Polycom VoIP Compatible,” as provided in paragraph 5 below. (b) Technical Support by Polycom. Manufacturer will be granted access to the Polycom support organization, as provided in paragraph 7 below. (c) Eligibility of Manufacturer’s Resellers to Become Polycom Certified VoIP Resellers. Manufacturer’s resellers (“Manufacturer Channels”) will be eligible to apply for certification as a Polycom Certified VoIP Reseller, and if certified, such Manufacturer Channels will be eligible to resell Polycom VoIP Phones and Software to end customers for deployment with Manufacturer VoIP Equipment. This designation will enable the Manufacturer Channels to purchase Polycom VoIP Phones and Software from an authorized Polycom Distributor. Any such designation will be subject to the terms and conditions of Polycom’s Channel Certification Program. (d) Access to the PRC. Manufacturer will have access through the Polycom Resource Center (the “PRC,” located at ▇▇▇▇://▇▇▇▇▇▇▇▇.▇▇▇▇▇▇▇.▇▇▇) to various materials relating to the Polycom VoIP Phones and Software, including marketing materials, photos, logos, signage, most recent GA software, and in Polycom’s discretion, beta code. (e) Inclusion in the Published List of VIP Partners. Polycom will maintain a list of VoIP Interoperability Partners on its web site.

  • Benefits of the Agreement The terms and conditions of this Agreement shall inure to the benefit of and be binding upon the respective permitted successors and assigns of the parties. Nothing in this Agreement, express or implied, is intended to confer upon any party other than the parties hereto or their respective successors and assigns any rights, remedies, obligations, or liabilities under or by reason of this Agreement, except as expressly provided in this Agreement.

  • Benefits of the Administration Agreement Nothing in this Agreement, expressed or implied, shall give to any Person other than the parties hereto and their successors hereunder, the Owner Trustee, any separate trustee or co-trustee appointed under Section 6.10 of the Indenture and the Noteholders, any benefit or any legal or equitable right, remedy or claim under this Agreement.   • Benefits Perquisites and Expenses During the Term, the Executive shall be eligible to participate in employee benefit and fringe benefit plans and programs generally available to the executive officers of the Company and such additional benefits as the Board may from time to time provide. In addition, Executive shall be entitled to receive the personal benefits described on Exhibit A hereto. Executive shall be entitled to reimbursement for business expenses, including travel and entertainment; PROVIDED, that such reimbursement shall be limited to reasonable and necessary expenses incurred by Executive in connection with the performance of duties on behalf of the Company subject to: (i) timely submission of a properly executed Company expense report form accompanied by appropriate supporting documentation, and (ii) compliance with Company policies and procedures governing business expense reimbursement and reporting based upon principles and guidelines established by the Audit Committee of the Board, including periodic audits by the Internal Audit Department of the Company and/or the Audit Committee of the Board. Notwithstanding the foregoing, Executive shall in all events be entitled to reimbursement for travel expenses incurred in the performance of job duties commensurate with reimbursement policies generally available to similarly situated Vice Presidents.

  • Compensation Benefits and Reimbursement (a) The compensation specified under this Agreement shall constitute the salary and benefits paid for the duties described in Section 2. The Bank shall pay Executive as compensation a salary of not less than [$ ] per year (“Base Salary”). Such Base Salary shall be payable biweekly, or with such other frequency as officers and employees are generally paid. During the period of this Agreement, Executive’s Base Salary shall be reviewed at least annually. Such review shall be conducted by a committee designated by the Board, and the Bank may increase, but not decrease (except a decrease that is generally applicable to all employees) Executive’s Base Salary (with any increase in Base Salary to become “Base Salary” for purposes of this Agreement). Base Salary shall not include any director’s fees that the Executive is entitled to receive as a director of the Bank or any affiliate of the Bank. Such director’s fees shall be separately paid to the Executive. (b) Executive will be entitled to participate in and receive benefits under any employee benefit plans including, but not limited to, retirement plans, supplemental retirement plans, pension plans, profit-sharing plans, health-and-accident insurance plans, medical coverage or any other employee benefit plan or arrangement made available by the Bank currently or in the future to its senior executives and key management employees. Executive will be entitled to participate in any incentive compensation and bonus plans offered by the Bank in which Executive is eligible to participate. Nothing paid to Executive under any such plan or arrangement will be deemed to be in lieu of other compensation to which Executive is entitled under this Agreement. (c) In addition to the Base Salary provided for by paragraph (a) of this Section 3, the Bank shall pay or reimburse Executive for all reasonable travel and other reasonable expenses incurred by Executive performing his obligations under this Agreement and may provide such additional compensation in such form and such amounts as the Board may from time to time determine. The Bank shall reimburse Executive for his ordinary and necessary business expenses including, without limitation, fees for memberships in such clubs and organizations as Executive and the Board shall mutually agree are necessary and appropriate for business purposes, and travel and entertainment expenses, incurred in connection with the performance of his duties under this Agreement.
