Benefits to extend. Each party agrees that its obligations under this clause 24 and clauses 25 to 28 (and clause 29.3 in respect of the Trader) constitute promises conferring benefits on each party’s officers, employees, and agents that are intended to create, in respect of the benefit, an obligation enforceable by those officers, employees, and agents and accordingly, the provisions of Part 2 of the Contract and Commercial Law Act 2017 apply to its promises under this clause 24. The clauses referred to in this clause may be varied by agreement between the parties without the consent of the beneficiaries described in this clause.
Benefits to extend. Each party acknowledges that its obligations under this clause 26 constitute promises conferring benefits on each party’s officers, employees and agents that are intended to create, in respect of the benefit, an obligation enforceable by those officers, employees and agents and accordingly, the provisions of the Contracts (Privity) ▇▇▇ ▇▇▇▇ apply to its promises under this clause 26.

Benefits to extend. Each party acknowledges that its obligations under this clause 15 constitute promises conferring benefits on each party’s officers, agents and employees which are intended to create, in respect of the benefit, an obligation enforceable by those officers, agents and employees and accordingly, the provisions of the Contracts (Privity) Act 1982 apply to its promises under this clause 15. This clause 15 may be amended in accordance with the terms of this agreement without the consent of any of those officers, agents or employees.
Benefits to extend. Each party acknowledges agrees that its obligations under this clause 1718 will constitute also promises conferring benefits on each party's officers, agents and employees that are intended to create, in respect of the benefit, an obligation enforceable by those officers, agents and employees and accordingly, the provisions of the Contracts (Privity) Act 1982 apply to its promises under this clause 1718, but can be varied without the consent of such persons.

CONSUMER CONTRACTS Retailer to include provisions in Consumer Contracts: The following clauses apply in respect of the Retailer's Consumer Contracts: in respect of each Consumer Contract that has been entered into prior to the Commencement Date: at the next review date, or, if the Retailer is able to unilaterally vary the Consumer Contract, within 12 months after the Commencement Date (whichever is earlier), the Retailer will issue a unilateral variation to the Consumer Contract to include provisions that have substantially the same effect as the provisions required to be included in the Consumer Contract by this agreement, as summarised in schedule 4, and those provisions will be expressed to be for the benefit of the Distributor and enforceable by the Distributor in accordance with section 4 of the Contracts (Privity) ▇▇▇ ▇▇▇▇; or if the Retailer is unable to unilaterally vary one or more Consumer Contracts as set out in subparagraph (i), the Retailer will: use all reasonable endeavours to obtain at the next review of each Consumer Contract, or within 12 months after the Commencement Date (whichever is earlier), the agreement of the Consumer to enter into a variation of the Consumer Contract to include provisions that have substantially the same effect as the provisions required to be included in the Consumer Contract by this agreement, as summarised in schedule 4, and those provisions will be expressed to be for the benefit of the Distributor and enforceable by the Distributor under section 4 of the Contracts (Privity) ▇▇▇ ▇▇▇▇; and promptly provide notice to the Distributor if it is unable to obtain the agreement of the Consumer required in subparagraph (A); or in respect of each Consumer Contract that has been entered into after the Commencement Date, include the provisions required to be included in the Consumer Contract by this agreement, as summarised in schedule 4, and those...

  • Supplemental Compensation Pursuant to Section 7 of the Agreement, Supplemental Compensation is payable as follows.

  • Severance Allowance A laid-off employee shall be entitled to severance allowance pursuant to Article 55.

  • Compensation and Benefits During the Employment Period, Executive shall receive the following compensation and benefits: (a) An annual base salary which is not less than his or her annual base salary immediately prior to the Effective Date. During the Employment Period, Executive's annual base salary shall be reviewed at least annually and shall be increased from time to time consistent with increases in annual base salary awarded in the ordinary course of business to other executives and key employees. Any increase in annual base salary shall not limit or reduce any other obligation to Executive under this Agreement. Hibernia shall not reduce Executive's annual base salary during the Employment Period without Executive's consent. (b) A bonus (either pursuant to a bonus or incentive plan or program of Hibernia or otherwise) in cash at least equal to the product of the average of the bonus payout ratio1 for the three years (or such shorter period as Executive has been employed by Hibernia) prior to the Effective Date (expressed as a fraction) times the target bonus for the year in question (such bonus is hereinafter sometimes referred to as the "Employment Period Bonus"). For purposes of this paragraph (b), the parties acknowledge and agree that the bonus payout ratio is the percentage of Executive's target bonus for the year(s) in question which was actually awarded to Executive in the year(s) in question. The annual bonus shall be payable within 60 days after the end of each fiscal year. (c) Notwithstanding anything in paragraph (b) above to the contrary, however, Executive shall not be entitled to an Employment Period Bonus with respect to any year for which no bonuses have been or will be paid to any officer eligible to receive a bonus from Hibernia. It is expressly understood and agreed by the parties hereto that any bonus, regardless when paid, that is paid to any officer of Hibernia that relates to a year to which an Employment Period Bonus is otherwise required to be paid, shall require the payment of an Employment Period Bonus to Executive. (d) Executive shall be eligible to participate and to continue existing participation in any and all incentive compensation plans of Hibernia which provide opportunities to receive compensation in addition to annual base salary and cash bonus on the same terms and conditions as other executives and key employees of Hibernia. (e) Executive shall be entitled to participate in salaried employee benefit plans of Hibernia and receive perquisites on the same terms and conditions as other executives and key employees of Hibernia. (f) Executive shall be entitled to continue to accrue credited service for retirement benefits and receive retirement benefits under and pursuant to the terms of any qualified retirement plan of Hibernia or supplemental executive retirement plan of Hibernia in effect on the Effective Date, on the same terms and conditions as other executives and key employees of Hibernia.
