Best Efforts to Obtain Satisfaction of Conditions. Each of the Parties shall use its best efforts, to the extent commercially reasonable, to take all actions and to do all things necessary, proper or advisable to consummate Acquisition and the transactions contemplated by this Agreement and the Other Stock Purchase Agreements; provided, however, that notwithstanding anything in this Agreement to the contrary, the Buyer shall not be required to sell or dispose of or hold separately (through a trust or otherwise) any assets or businesses of the Buyer or its Affiliates.
