Common use of Best Knowledge Clause in Contracts

Best Knowledge. As used in this Agreement "to the best of each Seller's knowledge" "to the knowledge of Sellers", or words of similar import shall mean actual knowledge possessed by an executive officer of Seller and "to the best of Buyer's knowledge", "to the best of Parent's knowledge" or "to Buyer's knowledge" or words of similar import shall mean actual knowledge possessed by an executive officer of Parent or Buyer.

Best Knowledge. As used in this Agreement "to the best of each Seller's knowledge" "to the knowledge of Sellers", or words of similar import shall mean actual knowledge possessed by an executive officer of Seller and "to the best of Buyer's knowledge", "to the best of Parent's knowledge" or "to Buyer's knowledge" or words of similar import shall mean actual or constructive knowledge possessed by an executive officer of Parent Seller, including such actual or constructive knowledge that would be expected to be known upon the exercise of reasonable business judgment, and "to the best of 247MGI or Buyers knowledge" or words of similar import shall mean actual or constructive knowledge possessed by an executive officer of 247MGI or Buyer, including such actual or constructive knowledge that would be expected to be known upon the exercise of reasonable business judgment.

Best Knowledge.
