Common use of Best of Knowledge Clause in Contracts

Best of Knowledge. Except as otherwise expressly set out in this Agreement, any reference herein to "the best of the knowledge" or "the knowledge" of the Vendor or words to like effect will be deemed to mean the actual knowledge of the senior officers and directors of the Vendor and the knowledge that such individuals would have had if they had conducted a reasonably diligent inquiry into the relevant subject matter.
