Common use of Binding Agreement; Successors and Assigns Clause in Contracts

Binding Agreement; Successors and Assigns. This Agreement shall inure to the benefit of and be binding upon the parties hereto and their respective successors and assigns, and shall inure to the benefit of the Selling Group Members to the extent set forth in Sections 2, 10 and 11 hereof. Nothing in this Agreement is intended or shall be construed to give any other person any right, remedy or claim, except as otherwise specifically provided herein. Neither this Agreement, or any party’s rights or obligations hereunder, may be assigned by any party without the prior written consent of the other parties.

Neither its interest under this Agreement, or any party’s rights or obligations hereunder, may be assigned by any party without the prior written consent of the other parties, which consent may be withheld by any party in such party's sole and absolute discretion.
