Common use of Binding Effect of Resolutions Clause in Contracts

Binding Effect of Resolutions. Every resolution and every Extraordinary Resolution passed in accordance with the provisions of this Article 7 at a meeting of Registered Warrantholders shall be binding upon all the Warrantholders, whether present at or absent from such meeting, and every instrument in writing signed by Registered Warrantholders in accordance with Section 7.14 shall be binding upon all the Warrantholders, whether signatories thereto or not, and each and every Warrantholder and the Warrant Agent (subject to the provisions for indemnity herein contained) shall be bound to give effect accordingly to every such resolution and instrument in writing.

Binding Effect of Resolutions. Every resolution and every Extraordinary Resolution special resolution passed in accordance with the provisions of this Article 7 8 at a meeting of Registered Warrantholders Receiptholders shall be binding upon all the WarrantholdersReceiptholders, whether present at or absent from such meeting, and every instrument in writing signed by Registered Warrantholders Receiptholders in accordance with Section 7.14 8.14 shall be binding upon all the WarrantholdersReceiptholders, whether signatories thereto or not, and each and every Warrantholder Receiptholder and the Warrant Subscription Receipt Agent (subject to the provisions for indemnity herein contained) shall be bound to give effect accordingly to every such resolution and instrument in writing.

Binding Effect of Resolutions. Every resolution and every Extraordinary Resolution passed in accordance with the provisions of this Article 7 6 at a meeting of Registered Warrantholders Noteholders shall be binding upon all the WarrantholdersNoteholders, whether present at or absent from such meeting, and every instrument in writing signed by Registered Warrantholders Noteholders in accordance with Section 7.14 this Article 6 shall be binding upon all the WarrantholdersNoteholders, whether signatories thereto or not, and each and every Warrantholder and the Warrant Agent (subject to the provisions for indemnity herein contained) Noteholder shall be bound to give effect accordingly to every such resolution and instrument in writing.

Binding Effect of Resolutions. Every resolution and every Extraordinary Resolution special resolution passed in accordance with the provisions of this Article 7 8 at a meeting of Registered Warrantholders Receiptholders shall be binding upon all the WarrantholdersReceiptholders, whether present at or absent from such meeting, and every instrument in writing signed by Registered Warrantholders Receiptholders in accordance with Section 7.14 8.14 shall be binding upon all the WarrantholdersReceiptholders, whether signatories thereto or not, and each and every Warrantholder Receiptholder and the Warrant Subscription Receipt Agent (subject to the provisions for indemnity herein contained) shall be bound to give effect accordingly to every such resolution and instrument in writing. In the case of an instrument in writing, the Subscription Receipt Agent shall promptly give notice to the Corporation and to all Receiptholders of the effect of the instrument in writing.

Binding Effect of Resolutions. Every Subject to Section 11.19, every resolution and every Extraordinary Resolution passed in accordance with the provisions of this Article 7 11 at a meeting of Registered Warrantholders Noteholders shall be binding upon all the WarrantholdersNoteholders, whether present at or absent from such meeting, meeting and every instrument in writing signed by Registered Warrantholders Noteholders in accordance with Section 7.14 11.17 shall be binding upon all the WarrantholdersNoteholders, whether signatories thereto or not, and each and every Warrantholder Noteholder and the Warrant Agent Trustee (subject to the provisions for its funding, security and indemnity herein contained) shall be bound to give effect accordingly to every such resolution and instrument in writing.

Binding Effect of Resolutions. Every resolution and every Extraordinary Resolution passed in accordance with the provisions of this Article 7 11 at a meeting of Registered Special Warrantholders shall be binding upon all the Special Warrantholders, whether present at or absent from such meeting, and every instrument in writing signed by Registered Special Warrantholders in accordance with Section 7.14 11.14 shall be binding upon all the Special Warrantholders, whether signatories thereto or not, and each and every Special Warrantholder and the Special Warrant Agent (subject to the provisions for indemnity herein contained) shall be bound to give effect accordingly to every such resolution and instrument in writing.

Binding Effect of Resolutions. Every resolution and every Extraordinary Resolution passed in accordance with the provisions of this Article 7 Section 11 at a meeting of Registered Warrantholders Noteholders shall be binding upon all the WarrantholdersNoteholders, whether present at or absent from such meeting, and every instrument in writing signed by Registered Warrantholders Noteholders in accordance with Section 7.14 11.16 shall be binding upon all the WarrantholdersNoteholders, whether signatories thereto or not, and each and every Warrantholder Noteholder and the Warrant Agent Trustee (subject to the provisions for indemnity its remuneration, indemnification and protection herein contained) shall be bound to give effect accordingly to every such resolution and instrument in writing.

Every resolution and every Extraordinary Resolution passed in accordance with the provisions of this Article 7 at a meeting of Registered Warrantholders Noteholders shall be binding upon all the WarrantholdersNoteholders, whether present at or absent from such meeting, and every instrument in writing signed by Registered Warrantholders Noteholders in accordance with Section 7.14 10.15 shall be binding upon all the WarrantholdersNoteholders, whether signatories thereto or not, and each and every Warrantholder Noteholder and the Warrant Agent Trustee (subject to the provisions for its indemnity herein contained) shall be bound to give effect accordingly to every such resolution resolution, Extraordinary Resolution and instrument in writing.
