Board Meeting Attendance. One (1) designated PMA representative is allowed time off without loss of compensation to hear items before the Board of Directors within the scope of representation. Failure to provide notice (on the same basis as is required for all board members and in any event not less than three business days') of or to permit such representative to attend such meeting shall constitute a material breach of the provisions of this Agreement. Such representative shall sign a confidentiality agreement as may reasonably be required by the Company to comply with applicable law, including but not limited to Regulation FD as promulgated by the SEC, and such representative shall have no voting rights at any such meeting, but shall be entitled to participate fully in all discussions that take place thereat.
Board Meeting Attendance. One Shop ▇▇▇▇▇▇▇ of the Union may attend open Board meetings without loss of pay when they are held during regularly scheduled hours of work. The Library reserves the right to deny Board meeting attendance to Shop Stewards in emergency situations as required by the business needs of the Library. A copy of the Library Board of Trustees (BOT) meeting packet (excluding confidential information) will be provided to the Union Representative or designee(s) electronically prior to such meetings. Any subsequent revisions to the BOT meeting packet on the day of and prior to the Board meeting will be provided to the Union Representative or designee at the meeting.
