Common use of Board Service Clause in Contracts

Board Service. During the Term, while Executive is employed as Company’s President and Chief Executive Officer, at the request of Company, Executive shall serve on the Board without additional compensation. Upon Executive’s Termination Date, Executive shall immediately resign from the Board.

During To the Termextent requested by the Board, while Executive is employed as Companyduring Executive’s President and Chief Executive Officer, at the request of Companyemployment, Executive shall serve on the Board boards of directors of any member of the Company Group without additional compensationcompensation therefor. Upon Executive’s Termination Date, Executive shall immediately resign from as a member the boards of directors of any members of the Company Group at such time as Executive ceases to hold the position of Executive Vice President & Chief Operating Officer (or otherwise ceases to be employed by the Company Group) or as directed by the Board.

Executive agrees, while Executive is employed as Company’s President and Chief Executive Officerfor no additional compensation, at the request of Company, Executive shall to serve on the Board without additional compensationand any committees of the Board. Upon Executive’s Termination Datethe end of the Term for any reason, Executive shall immediately resign from the BoardBoard and from any other offices he holds with the Company or its parent company or affiliates.

During the Term, while Executive is employed as Company’s President and Chief Executive Officer, at the request of CompanyCompany and subject to any appointment or election requirements, Executive shall serve on the Board and the boards of directors of Company’s subsidiaries, in each case without additional compensation. Upon Executive’s Termination Date, Executive shall immediately resign from the BoardBoard and all boards of directors of Company’s subsidiaries.
