Common use of Borrower’s Knowledge Clause in Contracts

Borrower’s Knowledge. Any statements, representations or warranties in the Loan Documents that are based upon the knowledge or best knowledge of Borrower or an officer thereof shall be deemed to have been made after due inquiry by the officer making such statements, representations or warranties on behalf of Borrower or himself or herself, as applicable, with respect to the matter in question, and Borrower shall not be imputed with knowledge of any fact or circumstance unless a Responsible Officer of Borrower shall have or should have had actual knowledge of such fact or circumstance.
