Common use of Borrowing Certificate Clause in Contracts

Borrowing Certificate. The Administrative Agent shall have received, on or prior to the time required for its receipt pursuant to subsection 2.3, a Borrowing Certificate with respect to the Loans requested to be made on such date. Each borrowing by the Company hereunder shall constitute a representation and warranty by the Company as of the date of such Loan that the conditions contained in subsections 4.2(a) and 4.2(b) have been satisfied.

Borrowing Certificate. Each borrowing by the Company Borrower hereunder shall constitute a representation and warranty by the Company Borrower as of the date of such Loan that the applicable conditions contained in subsections 4.2(a) and 4.2(b) this Section 4 have been satisfied.
