Borrowing Certificate. The U.S. Administrative Agent shall have received a certificate from the Parent Borrower, dated the Closing Date, substantially in the form of Exhibit I, with appropriate insertions and attachments, reasonably satisfactory in form and substance to the U.S. Administrative Agent, executed by a Responsible Officer and the Secretary or any Assistant Secretary of the Parent Borrower.
