Common use of Branch Operations Clause in Contracts

Branch Operations. Notwithstanding the foregoing, between the date of this Agreement and the Effective Time, and except as may be otherwise required by a governmental or regulatory authority, Seller shall not, without the prior written consent of Purchaser: (a) engage or participate in any transaction or incur or sustain any obligation which is material to the business, condition or operation of the Branches; (b) except in the ordinary course of business at the unsolicited direction of depositors (i) cause the Branches to transfer to Seller’s other operations or to a third party (other than Purchaser) any Deposit Liabilities or (ii) cause any of Seller’s other operations to transfer to the Branches any Deposit Liabilities; (c) undertake any actions which are inconsistent with the maintenance of good relations with customers of the Branches; (d) make any change to its customary policies for setting rates on deposits offered at the Branches; (e) amend or modify any of its promotional or deposit account practices at the Branches; or (f) reduce the service charges on any deposit product or fee-based product (e.g. safe deposit boxes, money orders, cashier’s checks).
