Common use of Breach of Representation or Warranty Clause in Contracts

Breach of Representation or Warranty. Any representation or warranty made or deemed made by any Credit Party Entity to the Administrative Agent or any Lender herein or in any other Loan Document or in any certificate at any time given by any such Person pursuant to any Loan Document shall be false or misleading in any material respect on the date made (or deemed made).

Breach of Representation or Warranty. Any representation or warranty of any Obligor made or deemed to be made by any Credit Party Entity to the Administrative Agent or any Lender herein hereunder or in any other Loan Document executed by it or any other writing or certificate furnished by or on behalf of any Obligor to the any Agent, the Arrangers, the Issuer or any Bank for the purposes of or in any certificate at any time given by connection with this Agreement or any such Person other Loan Document (including any certificates delivered pursuant to any Loan Document Article V) is or shall be false or misleading in any material respect on the date incorrect when made (or deemed made).

Any representation or warranty of any Obligor made or deemed to be made by any Credit Party Entity to the Administrative Agent or any Lender herein hereunder or in any other Loan Document executed by it or any other writing or certificate furnished by or on behalf of any Obligor to either Agent or any Lender for the purposes of or in any certificate at any time given by connection with this Agreement or any such Person other Loan Document (including any certificates delivered pursuant to any Loan Document Article V) is or shall be false or misleading in any material respect on the date incorrect when made (or deemed made).

Any representation representation, warranty or warranty statement made or deemed made by or on behalf of any Credit Party Entity to or by any officer of the Administrative Agent or foregoing under any Lender herein or in any other Loan Document or in any certificate at report, certificate, or other document delivered to any time given by Agent or any such Person Lender under Article VI of this Agreement or otherwise pursuant to any Loan Document shall prove to be false incorrect or misleading in any material respect on the date when made (or deemed made).

Any representation representation, warranty or warranty statement made or deemed made by or on behalf of Borrowers or by any Credit Party Entity officer of the foregoing under any Loan Document or in any report, certificate, or other document delivered to the Administrative Agent or any DIP Lender herein or in any other Loan Document or in any certificate at any time given by any such Person pursuant to any Loan Document shall prove to be false incorrect or misleading in any material respect on the date when made (or deemed made).

Any representation or warranty made or deemed made by the Company or any Credit Party Entity of its Subsidiaries to the Administrative Agent Agent, any Lender or any Lender Issuing Bank herein or in any other Loan Document or in any statement or certificate at any time given by any such Person pursuant to any Loan Document shall be false or misleading in any material respect on the date made (or deemed made).

Any representation representation, warranty or warranty statement made in this Agreement or deemed made pursuant to a Notice of Borrowing or Section 4.02 by or on behalf of any Credit Party Entity to or by any officer of the Administrative Agent or foregoing under any Lender herein or in any other Loan Document or in any certificate at report, certificate, or other document delivered to any time given by Agent or any such Person Lender pursuant to any Loan Document shall proves to be false incorrect or misleading in any material respect on the date when made (or deemed made).

Any representation or warranty of any other Obligor made or deemed to be made hereunder or in any other Loan Document executed by it, or any Credit Party Entity other writing or certificate furnished by or on behalf of any Obligor to the Administrative Agent or any Lender herein for the purposes of or in connection with this Agreement or any such other Loan Document or in (including any certificate at any time given by any such Person certificates delivered pursuant to any Loan Document Article V) is or shall be false or misleading in any material respect on the date incorrect when made (or deemed made).
