Common use of Bring Along Clause in Contracts

Bring Along. Prior to an IPO, in the event that shareholders of the Company holding at least 80% of the Company's issued and outstanding share capital on a fully diluted and as converted basis shall elect to sell all of their shares to a third party (the "PROPOSING SHAREHOLDERS") then all remaining shareholders (the "REMAINING SHAREHOLDERS") shall be required, if so demanded by the Proposing Shareholders, to sell all of their shares in the Company to such third party at the same price and upon the same terms and conditions as the Proposing Shareholders, all as more fully set forth in the Amended Articles. Proceeds received under this Section shall be distributed among the shareholders of the Company in accordance with distribution instructions set forth in Section 2.1 hereof.
