Common use of Bringdown Certificate Clause in Contracts

Bringdown Certificate. A certificate of Seller, dated as of the Closing Date, stating that the representations and warranties of Seller contained in Section 5.1 of this Agreement remain true and correct as of the Closing Date as if the same had been made on and as of the Closing Date;

Bringdown Certificate. A certificate of SellerPurchaser, dated as of the Closing Date, stating that the representations and warranties of Seller Purchaser contained in Section 5.1 5.2 of this Agreement remain true and correct as of the Closing Date as if the same had been made on and as of the Closing Date;.

Bringdown Certificate. A certificate of Seller, dated as of the Closing Date, stating duly executed by Seller confirming that all the representations and warranties of Seller that are contained in this Agreement, as modified pursuant to Section 5.1 of this Agreement remain 7.1, are true in all material respects on and correct as of the Closing Date as if day of Closing, with the same had been effect as though made on and as of the Closing Date;day of Closing; and

Bringdown Certificate. A certificate Certificate of Seller, dated as of the Closing Date, stating recertifying that the all representations and warranties of made by Seller contained in Section 5.1 of this Agreement remain are true and correct in all material respects on, and as of of, the Closing Date as if the same had been made on and as of the Closing Date;(or noting such changes to such representations or warranties); and

Bringdown Certificate. A certificate of Seller, dated as of the Closing Date, stating signed by an authorized representative of Seller, certifying that the Seller’s representations and warranties of Seller contained made in Section 5.1 of this Agreement remain 9 herein are true and correct as of the Closing Date as if the same had been made on and as of the Closing Date(“Bringdown Certificate”);
