Common use of Bringdown Certificate Clause in Contracts

Bringdown Certificate. A “Bringdown Certificate” certifying that the representations and warranties set forth in Section 7(a) remain accurate, true and correct in all material respects as of Closing, and that all material covenants and obligations of the PGMI Parties under the Agreement have been performed, in the form attached hereto as Exhibit F (the “PGMI Parties Bringdown Certificate”).

Bringdown Certificate. A “Bringdown Certificate” certifying that the representations and warranties set forth in Section 7(a7(b) remain accurate, true and correct in all material respects as of the Closing, and that all material covenants and obligations of the PGMI CNL Parties under the Agreement have been performed, in the form attached hereto as Exhibit F G (the “PGMI CNL Parties Bringdown Certificate”).
