Common use of Broker Clause in Contracts

Broker. Tenant represents and warrants that it has not dealt with any broker or agent in the negotiation for or the obtaining of this Amendment and agrees to reimburse, indemnify, save, defend (at Landlord’s option and with counsel reasonably acceptable to Landlord, at Tenant’s sole cost and expense) and hold harmless the Landlord Indemnitees for, from and against any and all cost or liability for compensation claimed by any such broker or agent employed or engaged by it or claiming to have been employed or engaged by it.

Broker. Tenant represents and warrants that it has not dealt with any broker or agent in the negotiation for or the obtaining of this Amendment and agrees to reimburse, indemnify, save, defend (at Landlord’s option and with counsel reasonably acceptable to Landlord, at Tenant’s sole cost and expense) and hold Landlord harmless the Landlord Indemnitees for, from and against any and all cost or liability for compensation claimed by any such broker or agent employed or engaged by it or claiming to have been employed or engaged by it.

Broker. Each of Tenant and Landlord represents and warrants that it has not dealt with any broker or agent in the negotiation for or the obtaining of this Amendment and agrees to reimburse, indemnify, save, defend (at Landlordthe other party’s option and with counsel reasonably acceptable to Landlordother party, at Tenantthe indemnifying party’s sole cost and expense) and hold harmless the Landlord Indemnitees indemnifying party for, from and against any and all cost or liability for compensation claimed by any such broker or agent employed or engaged by it or claiming to have been employed or engaged by it.

Broker. Tenant represents and warrants that it has not dealt with any broker or agent in the negotiation for or the obtaining of this Second Amendment and agrees to reimburse, indemnify, save, defend (at Landlord’s option and with counsel reasonably acceptable to Landlord, at Tenant’s sole cost and expense) and hold Landlord harmless the Landlord Indemnitees for, from and against any and all cost or liability for compensation claimed by any such broker or agent employed or engaged by it or claiming to have been employed or engaged by it.

Tenant represents and warrants that it has not dealt with any broker or agent in the negotiation for or the obtaining of this Fourth Amendment and agrees to reimburse, indemnify, save, defend (at Landlord’s option and with counsel reasonably acceptable to Landlord, at Tenant’s sole cost and expense) and hold Landlord harmless the Landlord Indemnitees for, from and against any and all cost or liability for compensation claimed by any such broker or agent employed or engaged by it or claiming to have been employed or engaged by it.

Tenant represents and warrants that it has not dealt with any broker or agent in the negotiation for or the obtaining of this Amendment and agrees to reimburse, indemnify, save, defend (at Landlord’s option and with counsel reasonably acceptable to Landlord, at Tenant’s sole cost and expense) and hold harmless the Landlord Indemnitees and its affiliates, employees, agents and contractors for, from and against any and all cost or liability for compensation claimed by any such broker or agent employed or engaged by it or claiming to have been employed or engaged by it.

Tenant represents and warrants that it has not dealt with any broker or agent in the negotiation for or the obtaining of this Amendment and agrees to reimburse, indemnify, save, defend (at Landlord’s option and with counsel reasonably acceptable to Landlord, at Tenant’s sole cost and expense) and hold harmless the Landlord Indemnitees and its affiliates (and their respective employees, agents and contractors) for, from and against any and all cost or liability for compensation claimed by any such broker or agent employed or engaged by it or claiming to have been employed or engaged by it.

Broker. Tenant represents and warrants that it has not dealt with any broker or agent in the negotiation for or the obtaining of this Amendment Amendment, other than ▇▇▇▇▇▇▇▇ ▇▇▇▇▇ ▇▇▇▇▇ & Partners LLC (“Broker”), and agrees to reimburse, indemnify, save, defend (at Landlord’s option and with counsel reasonably acceptable to Landlord, at Tenant’s sole cost and expense) and hold Landlord harmless the Landlord Indemnitees for, from and against any and all cost or liability for compensation claimed by any such broker or agent agent, other than Broker, employed or engaged by it or claiming to have been employed or engaged by it. Broker is not entitled to a leasing commission in connection with the making of this Amendment.

Broker. Tenant represents and warrants that it has not dealt with any broker or agent in the negotiation for or the obtaining of this Amendment (“Broker”), and agrees to reimburse, indemnify, save, defend (at Landlord’s option and with counsel reasonably acceptable to Landlord, at Tenant’s sole cost and expense) and hold Landlord harmless the Landlord Indemnitees for, from and against any and all cost or liability for compensation claimed by any such broker or agent agent, other than Broker, employed or engaged by it or claiming to have been employed or engaged by it.

Broker. Tenant represents and warrants that it has not dealt with any broker or agent in the negotiation for or the obtaining of this Amendment the Amendment, and agrees to reimburse, indemnify, save, defend (at Landlord’s option and with counsel reasonably acceptable to Landlord, at Tenant’s sole cost and expense) and hold Landlord harmless the Landlord Indemnitees for, from and against any and all cost or liability for compensation claimed by any such broker or agent employed or engaged by it or claiming to have been employed or engaged by it.

Broker. Tenant represents and warrants that it has not dealt with any broker or agent in the negotiation for or the obtaining of this Amendment and agrees to reimburse, indemnify, save, defend (at Landlord’s option and with counsel reasonably acceptable to Landlord, at Tenant’s sole cost and expense) and hold harmless the Landlord Indemnitees for, from and against any and all cost or liability for compensation claimed by any such broker or agent employed or engaged by it or claiming to have been employed or engaged by it. 13.

Tenant represents and warrants that it has not dealt with any broker or agent in the negotiation for or the obtaining of this Amendment and agrees to reimburse, indemnify, save, defend (at Landlord’s option and with counsel reasonably acceptable to Landlord, at Tenant’s sole cost and expense) and hold harmless the Landlord Indemnitees and Landlord’s Agents for, from and against any and all cost or liability for compensation claimed by any such broker or agent employed or engaged by it or claiming to have been employed or engaged by it.

Tenant represents and warrants that it has not dealt with any broker or agent in the negotiation for or the obtaining of this Amendment other than Landlord’s Broker and Tenant’s Broker, and agrees to reimburse, indemnify, save, defend (at Landlord’s option and with counsel reasonably acceptable to Landlord, at Tenant’s sole cost and expense) and hold Landlord harmless the Landlord Indemnitees for, from and against any and all cost or liability for compensation claimed by any such other broker or agent employed or engaged by it or claiming to have been employed or engaged by it.

Broker. Tenant and Landlord each represents and warrants to the other that it has not dealt with any broker or agent in the negotiation for or the obtaining of this Amendment and agrees to reimburse, indemnify, save, defend (at Landlord’s option and with counsel reasonably acceptable to Landlord, at Tenant’s sole cost and expense) and hold the other harmless the Landlord Indemnitees for, from and against any and all cost or liability for compensation claimed by any such broker or agent employed or engaged by it or claiming to have been employed or engaged by itit for such purposes.

Broker. Tenant represents and warrants that it has not dealt with any broker or agent in the negotiation for or the obtaining of this Amendment and agrees to reimburse, indemnify, save, defend (at Landlord’s option and with counsel reasonably acceptable to Landlord, at Tenant’s sole cost and expense) and hold harmless the Landlord Indemnitees and its affiliates, employees, agents, contractors, lenders, and mortgagees for, from and against any and all cost or liability for compensation claimed by any such broker or agent employed or engaged by it or claiming to have been employed or engaged by it.

Broker. Tenant represents and warrants to Landlord that it has not dealt with any broker with respect to this Amendment. If Tenant has dealt with any other broker or agent in person with respect to this Amendment, it shall be solely responsible for the negotiation for payment of any fees due said person or the obtaining of this Amendment firm and agrees to reimburseTenant shall protect, indemnify, save, defend (at Landlord’s option and with counsel reasonably acceptable to Landlord, at Tenant’s sole cost and expense) and hold harmless the and defend Landlord Indemnitees for, from and against any and all cost or liability for compensation claimed by any such broker or agent employed or engaged by it or claiming to have been employed or engaged by itin respect thereto.

Broker. Tenant represents and warrants that it has not dealt with any broker or agent in the negotiation for or the obtaining of this Amendment Amendment, and agrees to reimburse, indemnify, save, defend (at Landlord’s option and with counsel reasonably acceptable to Landlord, at Tenant’s sole cost and expense) and hold harmless the Landlord Indemnitees for, from and against any and all cost or liability for compensation claimed by any such broker or agent agent, employed or engaged by it or claiming to have been employed or engaged by it.

Broker. Tenant represents and warrants that it has not dealt with any broker or agent in connection with the negotiation for or the obtaining execution of this Amendment Amendment. Tenant and agrees Landlord each agree to reimburseIndemnify the other against all costs, indemnifyexpenses, saveattorneys' fees, defend (at Landlord’s option liens and with counsel reasonably acceptable to Landlord, at Tenant’s sole cost and expense) and hold harmless the Landlord Indemnitees for, from and against any and all cost or other liability for commissions or other compensation claimed by any such broker or agent employed claiming the same by, through, or engaged by it or claiming to have been employed or engaged by itunder the indemnifying party.

Broker. Tenant represents and warrants that it has not dealt with any broker or agent in the negotiation for or the obtaining of this Amendment other than ▇▇▇▇▇ & ▇▇▇▇▇ of New York (“Broker”), and agrees to reimburse, indemnify, save, defend (at Landlord’s option and with counsel reasonably acceptable to Landlord, at Tenant’s sole cost and expense) and hold Landlord harmless the Landlord Indemnitees for, from and against any and all cost or liability for compensation claimed by Broker or any such other broker or agent employed or engaged by it or claiming to have been employed or engaged by it.

Broker. Tenant represents and warrants that it has not dealt had no dealings, negotiations or consultations with any broker broker, representative, employee, or agent in the negotiation for or the obtaining of connection with this Amendment and agrees to reimburse, Amendment. Tenant shall indemnify, save, defend (at Landlord’s option and with counsel reasonably acceptable to Landlord, at Tenant’s sole cost and expense) and hold harmless the Landlord Indemnitees forfrom all loss, from and against any and all damage, cost or liability for compensation claimed by expense, including attorneys’ fees, arising out of the claim of any such broker other broker, representative, employee, agent or agent employed or engaged by it or other intermediary claiming to have been employed represented Tenant or engaged by itto be entitled to compensation in connection with the execution of this Lease.

Broker. Tenant represents and warrants that it has not dealt with any broker or agent in the negotiation for or the obtaining of this Amendment Fourth Amendment, and agrees to reimburse, indemnifyindenmify, save, defend (at Landlord’s 's option and with counsel reasonably acceptable to Landlord, at Tenant’s ▇▇▇▇▇▇'s sole cost and expense) and hold harmless the Landlord Indemnitees Parties for, from and against any and all cost or liability for compensation claimed by any such broker or agent agent, other than Broker, employed or engaged by it or claiming to have been employed or engaged by it.

Broker. Tenant represents and warrants that it has not dealt with any broker or agent in the negotiation for or the obtaining of this Amendment other than EDG Commercial Real Estate and agrees to reimburse, indemnify, save, defend (at Landlord’s option and with counsel reasonably acceptable to Landlord, at Tenant’s sole cost and expense) and hold Landlord harmless the Landlord Indemnitees for, from and against any and all cost or liability for compensation claimed by any such other broker or agent employed or engaged by it or claiming to have been employed or engaged by it.

Broker. Tenant represents and warrants that it has not dealt with any broker or agent in the negotiation for or the obtaining of this Amendment and agrees to reimburse, indemnify, save, defend (at Landlord’s 's option and with counsel reasonably acceptable to Landlord, at Tenant’s as Broker's sole cost and expense) and hold harmless the Landlord Indemnitees for, from and against any and all cost or liability for compensation claimed by any such broker or agent employed or engaged by it or claiming to have been employed or engaged by it.

Broker. Tenant represents and warrants that it has not dealt with any broker or agent in the negotiation for or the obtaining of this Amendment Amendment, other than CB ▇▇▇▇▇▇▇ ▇▇▇▇▇ (“Broker”), and agrees to reimburse, indemnify, save, defend (at Landlord’s option and with counsel reasonably acceptable to Landlord, at Tenant’s sole cost and expense) and hold Landlord harmless the Landlord Indemnitees for, from and against any and all cost or liability for compensation claimed by any such broker or agent agent, other than Broker, employed or engaged by it or claiming to have been employed or engaged by it. Broker is not entitled to a leasing commission in connection with the making of this Amendment.

Broker. Tenant represents and warrants that it Tenant has not dealt had no dealings with any broker or agent in connection with the negotiation for or the obtaining execution of this Amendment and Amendment. Tenant hereby agrees to reimbursedefend, indemnify, save, defend (at Landlord’s option and with counsel reasonably acceptable to Landlord, at Tenant’s sole cost and expense) indemnify and hold harmless the Landlord Indemnitees forLandlord, from and against any and all cost claim by third parties for brokerage, commission, finders or liability for compensation claimed by other fees relative to this Amendment resulting from or arising out of any such broker acts or agent employed or engaged by it or claiming to have been employed or engaged by itagreements of Tenant.

Broker. Tenant represents and warrants that it has not dealt with any broker or agent in the negotiation for or the obtaining of this Amendment Amendment, and agrees to reimburse, indemnify, save, defend (at Landlord’s Land lord's option and with counsel reasonably acceptable to Landlord, at Tenant’s 's sole cost and expense) and hold harmless harm less the Landlord Indemnitees for, from and against any and all cost or liability for compensation claimed by any such broker or agent employed or engaged by it or claiming to have been employed or engaged by it.

Broker. Tenant represents and warrants that it has not dealt with any broker or agent in the negotiation for or the obtaining of this Amendment and Amendment, other than ▇▇▇▇▇▇▇ Inc. (“Broker”); provided, however, Broker is not entitled to a leasing commission in connection with this Amendment. Tenant agrees to reimburse, indemnify, save, defend (at Landlord’s option and with counsel reasonably acceptable to Landlord, at Tenant’s sole cost and expense) and hold Landlord harmless the Landlord Indemnitees for, from and against any and all cost or liability for compensation claimed by any such broker or agent (including Broker) employed or engaged by it or claiming to have been employed or engaged by itit in connection with this Amendment.

Broker. Tenant represents and warrants that it has not dealt with any broker or agent in connection with the negotiation for or the obtaining execution of this Amendment Amendment. Tenant and agrees Landlord each agree to reimburseindemnify the other against all costs, indemnifyexpenses, saveattorneys’ fees, defend (at Landlord’s option liens and with counsel reasonably acceptable to Landlord, at Tenant’s sole cost and expense) and hold harmless the Landlord Indemnitees for, from and against any and all cost or other liability for commissions or other compensation claimed by any such broker or agent employed claiming the same by, through, or engaged by it or claiming to have been employed or engaged by itunder the indemnifying party.

Tenant represents and warrants that it has not dealt with any broker or agent in the negotiation for or the obtaining of this Amendment and agrees to reimburse, indemnify, save, defend (at Landlord’s option and with counsel reasonably acceptable to Landlord, at Tenant’s sole cost and expense) and hold harmless the Landlord Indemnitees Landlord’s Related Entities for, from and against any and all cost or liability for compensation claimed by any such broker or agent employed or engaged by it or claiming to have been employed or engaged by it.

Tenant represents and warrants that it has not dealt with any broker or agent in the negotiation for or the obtaining of this Amendment and agrees to reimburse, indemnify, save, defend (at Landlord▇▇▇▇▇▇▇▇’s option and with counsel reasonably acceptable to Landlord, at Tenantas ▇▇▇▇▇▇’s sole cost and expense) and hold harmless the Landlord Indemnitees for, from and against any and all cost or liability for compensation claimed by any such broker or agent employed or engaged by it or claiming to have been employed or engaged by it.
