BUILDING AGREEMENT. the Building Agreement constitutes valid, binding and enforceable obligations of the Assignor, are in full force and effect and have not been varied or modified in any respect from the form in which they were entered into, or cancelled, and neither it nor, to the best of the Assignor's knowledge, the Lessor, is in default thereunder or has asserted or threatened to assert any right of termination or repudiation thereof or any right of re-entry; and
