Common use of Building Codes, Zoning, Etc Clause in Contracts

Building Codes, Zoning, Etc. Without limiting the provisions of Section 4.18.1 hereof, Seller is not in violation of any applicable building, zoning, fire or other similar law, ordinance or regulation in respect of the Real Estate or any of its plants, structures or facilities or its operations, the failure to comply with which would have a material adverse effect on the Business. Seller has not received notification that Seller is in violation of any such law, ordinance or regulation, and no proceeding or inquiry has been initiated or threatened with respect to any alleged violation (against Seller or in any way relating to the Property) of any such laws, ordinances or regulations. No such law, ordinance or regulation currently restricts, or based upon the Business as currently conducted, may reasonably be expected to restrict, the use in the business of all or any portion of the Real Estate or the conduct thereon of the Business.
