Common use of By Client Clause in Contracts

By Client. Client represents and warrants to Consultant that: (a) it owns, or is a licensee of, having the right to sublicense, the Content and that Client has the right to grant Consultant the rights that Client purports to grant in this Agreement; (b) Consultant’s possession or use of the Content or Client Data does not and will not infringe on, violate, or misappropriate any patent, trademark, or copyright, or misappropriate any trade secret or other proprietary right of any third party; and (c) it will not use, nor will it allow any third parties under its control to use, the Services for high risk activities, such as the operation of nuclear facilities, air traffic control, or life support systems, where the use or failure of the Services could lead to death, personal injury, or environmental damage.
