Calculation of Earnout Percentage. The Earnout Percentage shall be determined in accordance with the following: 80th percentile (Maximum Performance) 200% 65th percentile 150% 50th percentile (Target Performance) 100% 40th percentile 75% 30th percentile (Threshold Performance) 50% Below 30th percentile 0% The Earnout Percentage between the above performance levels shall be determined based on straight line interpolation.
