Calculation of Number of Additional Shares. In the event of an adjustment to the applicable Per Unit Purchase Price, the Company shall issue to each Subscribers on the Delivery Date, that number of Additional Shares equal to (i) the number of Shares then held by such Subscriber multiplied by a fraction, the numerator of which is the Per Unit Purchase Price immediately preceding the issuance of New Issue Securities and the denominator of which is the Per Unit Purchase Price of the New Issue Securities, minus (ii) the number of Shares held by the Investor immediately preceding the issuance of the New Issue Securities.
