Cancellation, Amendment or Reversal of Entries. Customer shall have no right to cancel or amend any Entry after its receipt by Bank, nor any right to the reversal of any Entry after it has been transmitted to the ACH or, in the case of an On-Us Entry, after the Receiver’s account has been credited/debited. However, Bank shall use reasonable efforts to act on a request by Customer to cancel or amend an Entry prior to transmitting it to the ACH or, in the case of an On-Us Entry, prior to crediting/debiting the Receiver's account, or for the reversal of a transmitted Entry or, in the case of an On-Us Entry, an Entry that has been credited/debited to the Receiver’s account, provided such request complies with any and all Security Procedures and the Rules. Under no circumstances shall Bank have any liability whatsoever for any failure to cancel, amend, or reverse any Entry. Customer shall be liable to Bank for any expenses, losses or damages Bank incurs in effecting or attempting to effect Customer’s request for cancellation, amendment or reversal of any Entry and does hereby agree to indemnify, defend and hold Bank harmless with respect thereto.   • Cancellation Amendment The Transfer Agent shall use reasonable efforts to act on all authorized requests to cancel or amend payment orders received in compliance with the Security Procedure provided that such requests are received in a timely manner affording the Transfer Agent reasonable opportunity to act. However, the Transfer Agent assumes no liability if the request for amendment or cancellation cannot be satisfied.

  • Amendment or Repeal Any repeal or modification of the foregoing provisions of this Section 8.1, or adoption of any provision of this Agreement inconsistent with this Section 8.1, shall not adversely affect any right or protection hereunder of any person or entity in respect of any act or omission occurring prior to the time of such repeal, modification or adoption of any inconsistent provision. The rights provided hereunder shall inure to the benefit of any Indemnified Person and such person’s or entity’s heirs, executors, administrators, receivers, trustees, successors, assignees and transferees.

  • Amendment or Restatement This Agreement may be amended or restated only by a written instrument executed by all Members; provided, however, that, notwithstanding anything to the contrary contained in this Agreement, each Member agrees that the Board, without the approval of any Member, may amend any provision of the Delaware Certificate and this Agreement, and may authorize any officer to execute, swear to, acknowledge, deliver, file and record any such amendment and whatever documents may be required in connection therewith, to reflect any change that does not require consent or approval (or for which such consent or approval has been obtained) under this Agreement or does not materially adversely affect the rights of the Members.
