Cancellation and Destruction of Right Certificates. All Right Certificates surrendered for the purpose of exercise, transfer, split up, combination or exchange shall, if surrendered to the Company or to any of its agents, be delivered to the Rights Agent for cancellation or in canceled form, or, if delivered or surrendered to the Rights Agent, shall be canceled by it, and no Right Certificates shall be issued in lieu thereof except as expressly permitted by any of the provisions of this Agreement. The Rights Agent shall deliver all canceled cancelled Right Certificates to the Company approximately one and one-half years after the cancellation dateCompany, or shall, at the written request of the Company, destroy such canceled cancelled Right Certificates, and and, in such case case, shall deliver a certificate of destruction thereof to the Company.

Cancellation and Destruction of Right Certificates. All Right Certificates surrendered for the purpose of exercise, transfer, split up, combination or exchange shall, if surrendered to the Company Corporation or to any of its agents, be delivered to the Rights Agent for cancellation or in canceled cancelled form, or, if delivered or surrendered to the Rights Agent, shall be canceled cancelled by it, and no Right Certificates shall be issued in lieu thereof except as expressly permitted by any of the provisions of this Rights Agreement. The Company Corporation shall deliver to the Rights Agent for cancellation and retirement, and the Rights Agent shall so cancel and retire, any other Right Certificate purchased or acquired by the Company Corporation otherwise than upon the exercise thereof. The Rights Agent shall deliver all canceled cancelled Right Certificates to the Company approximately one and one-half years after the cancellation dateCorporation, or shall, at the written request of the CompanyCorporation, destroy such canceled cancelled Right Certificates, and in such case shall deliver a certificate of destruction thereof to the Companycorporation.

The Rights Agent shall deliver all canceled Right Certificates to the Company approximately one and one-half years after the cancellation dateCompany, or shall, at the written request of the Company, destroy such canceled Right Certificates, after any retention period required by the Securities and Exchange Commission has lapsed, and in such case shall deliver a certificate of destruction thereof to the Company.

All Right Certificates surrendered or presented to the Rights Agent for the purpose of exercise, transfer, split split-up, combination or exchange shallexchange, and any Right Certificate representing Rights that have become null and void and nontransferable pursuant to Section 7(e) surrendered or presented if surrendered or presented to the Company or to any of its agents, be delivered to the Rights Agent for cancellation or in canceled form, or, if delivered or surrendered to the Rights Agentany purpose, shall be canceled by it, and no Right Certificates shall be issued in lieu thereof except as expressly permitted by any of the provisions of this Rights Agreement. The Company shall deliver to the Rights Agent for cancellation Cancellation and retirement, and the Rights Agent shall so cancel and retire, any other Right Certificate Certificates purchased or acquired by the Company otherwise than upon the exercise thereofCompany. The Rights Agent shall deliver all canceled Right Certificates to the Company approximately one and one-half years after the cancellation dateCompany, or shall, at the written request of the Company, destroy such canceled Right Certificates, and in such case shall deliver a certificate of destruction thereof to the Company.
