Common use of Cancellation and/or Adjustment of Global Notes Clause in Contracts

Cancellation and/or Adjustment of Global Notes. At such time as all Book-Entry Interests in a particular Global Note have been exchanged for Definitive Registered Notes or a particular Global Note has been redeemed, repurchased or cancelled in whole and not in part, each such Global Note will be returned to or retained and cancelled by the Registrar in accordance with Section 2.11. At any time prior to such cancellation, if any Book-Entry Interest in a Global Note is exchanged for or transferred to a Person who will take delivery thereof in the form of a Book-Entry Interest in another Global Note or for Definitive Registered Notes, the principal amount of Notes represented by such Global Note will be reduced accordingly and an endorsement will be made on such Global Note by the Registrar or the Notes Custodian, at the direction of the Trustee, to reflect such reduction; and if the Book-Entry Interests is being exchanged for or transferred to a Person who will take delivery thereof in the form of a Book-Entry Interests in another Global Note, such other Global Note will be increased accordingly and an endorsement will be made on such Global Note by the Registrar or by the Notes Custodian at the direction of the Trustee to reflect such increase.

At such time as all Book-Entry Interests beneficial interests in a particular Global Note have been exchanged for Definitive Registered Notes or a particular Global Note has been redeemed, repurchased or cancelled canceled in whole and not in part, each such Global Note will shall be returned to or retained and cancelled canceled by the Registrar Trustee in accordance with Section 2.11. At any time prior to such cancellation, if any Book-Entry Interest beneficial interest in a Global Note is exchanged for or transferred to a Person who will take delivery thereof in the form of a Book-Entry Interest beneficial interest in another Global Note or for Definitive Registered NotesNotes or a particular Global Note has been redeemed or repurchased in part, the principal amount of Notes represented by such Global Note will shall be reduced accordingly and an endorsement will shall be made on such Global Note by the Registrar Trustee or by the Notes Custodian, Depositary at the direction of the Trustee, Trustee to reflect such reduction; and if the Book-Entry Interests beneficial interest is being exchanged for or transferred to a Person who will take delivery thereof in the form of a Book-Entry Interests beneficial interest in another Global Note, such other Global Note will shall be increased accordingly and an endorsement will shall be made on such Global Note by the Registrar Trustee or by the Notes Custodian Depositary at the direction of the Trustee to reflect such increase.

At any time prior to such cancellation, if any Book-Entry Interest in a Global Note of the same series is exchanged for or transferred to a Person who will take delivery thereof in the form of a Book-Entry Interest in another Global Note of the same series or for Definitive Registered Notes, the principal amount of Notes represented by such Global Note will be reduced accordingly and an endorsement will be made on such Global Note by the Registrar relevant Paying Agent or the Notes CustodianRegistrar, at the direction of the Trustee, Trustee to reflect such reduction; and if the Book-Entry Interests Interest is being exchanged for or transferred to a Person who will take delivery thereof in the form of a Book-Entry Interests Interest in another Global NoteNote of the same series, such other Global Note will be increased accordingly and an endorsement will be made on such Global Note by the relevant Registrar or by the Notes Custodian Paying Agent, at the direction of the Trustee to reflect such increase.

Cancellation and/or Adjustment of Global Notes. At such time as all Book-Entry Interests in a particular Global Note have been exchanged for Definitive Registered Notes or a particular Global Note has been redeemed, repurchased or cancelled in whole and not in part, each such Global Note will shall be returned delivered to or retained and cancelled by the Registrar Trustee for cancellation in accordance with Section 2.11. At any time prior to such cancellation, if any Book-Entry Interest in a Global Note is exchanged for or transferred to a Person who will take delivery thereof in the form of a Book-Entry Interest in another Global Note or for Definitive Registered Notes, the principal amount of Notes represented by such Global Note will shall be reduced accordingly and an endorsement will shall be made on such Global Note by the Registrar or the Notes Custodian, at the direction of the Trustee, Paying Agent to reflect such reduction; and if the Book-Entry Interests is being exchanged for or transferred to a Person who will take delivery thereof in the form of a Book-Entry Interests in another Global Note, such other Global Note will shall be increased accordingly and an endorsement will shall be made on such Global Note by the Registrar or by the Notes Custodian at the direction of the Trustee Paying Agent to reflect such increase.

Cancellation and/or Adjustment of Global Notes. At any time prior to such cancellation, if any Book-Entry Interest in a Global Note is exchanged for or transferred to a Person who will take delivery thereof in the form of a Book-Entry Interest in another Global Note or for Definitive Registered Notes, the principal amount of Notes represented by such Global Note will shall be reduced accordingly and an endorsement will shall be made on such Global Note by the Registrar Trustee or the Notes Custodian, at the direction of the Trustee, to reflect such reduction; and if the Book-Entry Interests is being exchanged for or transferred to a Person who will take delivery thereof in the form of a Book-Entry Interests in another Global Note, such other Global Note will shall be increased accordingly and an endorsement will shall be made on such Global Note by the Registrar Trustee or by the Notes Custodian at the direction of the Trustee to reflect such increase.

Cancellation and/or Adjustment of Global Notes. At any time prior to such cancellation, if any Book-Entry Interest in a Global Note is exchanged for, or transferred to, a Person who will take delivery thereof in the form of a Book-Entry Interest in another Global Note or as a Definitive Registered Note, the principal amount at maturity of Notes represented by such Global Note will be reduced accordingly and the Principal Paying and Domiciliary Agent shall provide a new “Schedule of Amendment of the Principal” to the NBB to reflect such reduction (and shall at the same provide the Trustee with a copy of such schedule); and if the Book-Entry Interest is being exchanged for or transferred to a Person who will take delivery thereof in the form of a Book-Entry Interest in another Global Note or for Definitive Registered Notes, the principal amount of Notes represented by such Global Note will be reduced accordingly and an endorsement will be made on such Global Note by the Registrar or the Notes Custodian, at the direction of the Trustee, to reflect such reduction; and if the Book-Entry Interests is being exchanged for or transferred to a Person who will take delivery thereof in the form of a Book-Entry Interests in another Global Note, such other Global Note will be increased accordingly and an endorsement will be made on such Global Note by the Registrar or by the Notes Custodian at the direction Principal Paying and Domiciliary Agent shall provide a new “Schedule of Amendments of the Trustee Principal” to the NBB to reflect such increaseincrease (and shall at the same provide the Trustee with a copy of such schedule).

Cancellation and/or Adjustment of Global Notes. At such time as all Book-Entry Interests beneficial interests in a particular Global Note have been exchanged for Definitive Registered Notes or a particular Global Note has been redeemed, repurchased or cancelled in whole and not in part, each such Global Note will shall be returned to or retained and cancelled by the Registrar Trustee in accordance with Section 2.112.11 hereof. At any time prior to such cancellation, if a particular Global Note has been redeemed, repurchased or cancelled in part and not in whole, or if any Book-Entry Interest beneficial interest in a Global Note is exchanged for or transferred to a Person who will take delivery thereof in the form of a Book-Entry Interest beneficial interest in another Global Note or for Definitive Registered Notes, the principal amount of Notes represented by such Global Note will shall be reduced accordingly and an endorsement will shall be made on the Schedule of Exchanges of Interest on such Global Note Note, by the Registrar Trustee, the Note Custodian or the Notes Custodian, Depositary at the direction of the Trustee, to reflect such reduction; and if the Book-Entry Interests beneficial interest is being exchanged for or transferred to a Person who will take delivery thereof in the form of a Book-Entry Interests beneficial interest in another Global Note, such other Global Note will shall be increased accordingly and an endorsement will shall be made on the Schedule of Exchanges of Interests on such Global Note Note, by the Registrar Trustee, the Note Custodian or by the Notes Custodian Depositary at the direction of the Trustee Trustee, to reflect such increase.

Cancellation and/or Adjustment of Global Notes. At such time as all Book-Entry Interests in a particular Global Note have been exchanged for Definitive Registered Notes or a particular Global Note has been redeemed, repurchased or cancelled canceled in whole and not in part, each such Global Note will be returned to or retained and cancelled canceled by the Registrar Trustee in accordance with Section 2.112.11 hereof. Cancellation and/or Adjustment of Global Notes. At such time as all Book-Entry Interests beneficial interests in a particular Global Note have been exchanged for Definitive Registered Second-Priority Notes or a particular Global Note has been redeemed, repurchased or cancelled canceled in whole and not in part, each such Global Note will be returned to or retained and cancelled canceled by the Registrar Second-Priority Trustee in accordance with Section 2.11309 hereof. At any time prior to such cancellation, if any Book-Entry Interest beneficial interest in a Global Note is exchanged for or transferred to a Person who will take delivery thereof in the form of a Book-Entry Interest beneficial interest in another Global Note or for Definitive Registered Second-Priority Notes, the principal amount of Second-Priority Notes represented by such Global Note will be reduced accordingly and an endorsement will be made on such Global Note by the Registrar Second-Priority Trustee or by the Notes Custodian, Depositary at the direction of the Trustee, Second-Priority Trustee to reflect such reduction; and if the Book-Entry Interests beneficial interest is being exchanged for or transferred to a Person who will take delivery thereof in the form of a Book-Entry Interests beneficial interest in another Global Note, such other Global Note will be increased accordingly and an endorsement will be made on such Global Note by the Registrar Second-Priority Trustee or by the Notes Custodian Depositary at the direction of the Second-Priority Trustee to reflect such increase.

At any time prior to such cancellation, if any Book-Entry Interest in a Global Note is exchanged for or transferred to a Person who will take delivery thereof in the form of a Book-Entry Interest in another Global Note or for Definitive Registered Notes, the principal amount of Notes represented by such Global Note will shall be reduced accordingly and an endorsement will shall be made on such Global Note by the Registrar Trustee or the Notes CustodianCommon Depositary, at the direction of the Trustee, to reflect such reduction; and if the Book-Entry Interests is being exchanged for or transferred to a Person who will take delivery thereof in the form of a Book-Entry Interests in another Global Note, such other Global Note will shall be increased accordingly and an endorsement will shall be made on such Global Note by the Registrar Trustee or by the Notes Custodian Common Depositary at the direction of the Trustee to reflect such increase.

Cancellation and/or Adjustment of Global Notes. At such time as all Book-Entry Interests in a particular Global Note have been exchanged for Definitive Registered Notes or a particular Global Note has been redeemed, repurchased or cancelled canceled in whole and not in part, each such Global Note will be returned to or retained and cancelled canceled by the Registrar Trustee in accordance with Section 2.112.11 hereof. At any time prior to such cancellation, if any Book-Entry Interest in a Global Note is exchanged for or transferred to a Person who will take delivery thereof in the form of a Book-Entry Interest in another Global Note or for Definitive Registered Notes, the principal amount of Notes represented by such Global Note will be reduced accordingly and an endorsement will be made on such Global Note by the Principal Paying Agent or the Registrar or by the Notes Custodian, Custodian or Depositary at the direction of the Trustee, either of them to reflect such reduction; and if the Book-Entry Interests Interest is being exchanged for or transferred to a Person who will take delivery thereof in the form of a Book-Entry Interests Interest in another Global Note, such other Global Note will be increased accordingly and an endorsement will be made on such Global Note by the Principal Paying Agent or the Registrar or by the Notes Custodian or the Depositary at the direction of the Trustee either of them to reflect such increase.
