Common use of Cancellation of Certain Shares Clause in Contracts

Cancellation of Certain Shares. Any shares of Company Common Stock held by Parent or any Parent Subsidiary, or Company or any Company Subsidiary, other than those held in a fiduciary capacity or as a result of debts previously contracted (“Treasury Shares”), shall be cancelled and retired at the Effective Time of the Merger and no consideration shall be issued in exchange therefor.
