Cancellation of Professional Services. The Customer agrees to adhere to the dates scheduled for provision of Professional Services by ▇▇▇▇▇▇ as stated in the applicable Statement of Work. If the Customer wishes to reschedule or cancel the dates for the provision of the Professional Services, Ultima will use reasonable endeavours to re-assign allocated resources to other clients. If such re-assignment is not possible and the Customer has not provided at least ten (10) Business Days or more full working days advance notice, then the Customer shall be liable to pay the following cancellation charges in the form of damages (“Cancellation Charges”) relating to this action, in addition to any specific costs relating to cancelling pre-booked travel arrangements and to unpaid Fees (if any) for any professional Services work that has been performed:
(a) if dates are changed or cancelled between six (6) days and nine (9) Business Days before the scheduled start date Cancellation Charges equivalent to fifty percent (50%) of the Fees for the Services to be provided at that time will be payable;
(b) if dates are changed or cancelled between two (2) days and five (5) Business Days before the scheduled start date Cancellation Charges equivalent to seventy-five percent (75%) of the Fees for the Services to be provided at that time will be payable;
(c) if dates are changed or cancelled fewer than two (2) Business Days before the scheduled start date Cancellation Charges equivalent to one hundred percent (100%) of the Fees for the Services to be provided at that time will be payable, provided that (i) references to the Fees for the Services in this Clause 5.6 (for the purposes of calculating Cancellation Charges) shall be limited to the Fees for the Services for a maximum period of ten (10) Business Days immediately following the date the Customer cancels or suspends; and (ii) it is acknowledged that certain sub-contractors for Professional Services may have specific cancellation charges applicable to the Services provided, in which case Ultima will inform the Customer of such cancellation charges in the applicable Statement of Work or otherwise in writing from time to time.
Cancellation of Professional Services fixed price project:
a) All unpaid invoices are due and payable within Payment Terms.
b) All achieved milestones not yet invoiced are due and payable within Payment Terms.
c) Any services rendered to date but not yet invoiced are payable within Payment Terms.
d) Any withheld amounts or retentions pertaining to work done are immediately due and payable. Any amounts not yet invoiced are, on presentation of an invoice, deemed to be properly invoiced.
e) For the avoidance of doubt the cancellation of Professional Services does not automatically terminate this agreement. Termination of this Agreement is as per Clause 7.

a) All unpaid invoices not subject to any bone fide dispute are due and payable within Payment Terms.

Notwithstanding the termination provisions of this Agreement and subject to this Section 3.5, the Parties agree that Licensee only has the right to cancel any particular Professional Service without terminating the Agreement in its entirety by providing Renaissance with written notice prior to Renaissance rendering such Professional Service and no later than the first anniversary of the date identified in the Quote for such Professional Service. If Licensee exercises its right to cancel a Professional Service for which Renaissance has already booked travel, Licensee shall pay Renaissance a one-time cancellation fee of $750. To the extent the Licensee does not schedule the Professional Services it purchases as identified in the Quote on or prior to the first anniversary of the date identified in the Quote for such Professional Service, Licensee shall no right to cancel the Professional Service and will have no right to seek a refund from Renaissance.
Cancellation of Professional Services. Viewpoint may charge Customer a cancellation fee in accordance with this Section if any Professional Services are cancelled or rescheduled by Customer. All cancellations or notices of rescheduling must be made in writing to Viewpoint. Customer will remain responsible for any travel expenses incurred by Viewpoint in connection with the cancelled or rescheduled Professional Services that cannot be reasonably cancelled or mitigated by Viewpoint.

In the event of any material breach of any term or provision of this Agreement by either party, the non-breaching party may terminate this Agreement by written notice if the breaching party fails to cure the breach within 30 days of receiving written notice of such breach from the non-breaching party; provided, however, that if such breach is incapable of being rectified, the non-breaching party may terminate the Agreement by giving 30 days written notice to the breaching party.
