CANCELLATION OF THE PURCHASE OPTION AGREEMENTS. Upon consummation of the Holdings IPO and the agreements described in Section 3.6 and repayment of the Senior Loan Facility as contemplated in Section 3.4, the Senior Bank Purchase Option Agreement, the TCP Purchase Option Agreement and the Mezzanine Purchase Option Agreement shall become void and of no further force and effect.
