Common use of Candidate Information Clause in Contracts

Candidate Information. The Purchasers acknowledge that each of ▇▇▇▇ ▇▇▇▇, ▇▇▇▇▇▇▇ ▇▇▇▇▇▇▇▇ and ▇▇▇▇▇▇▇ ▇▇▇▇▇▇▇▇ shall have provided to the Company information required to be, or customarily disclosed by, directors or director candidates or officers (as applicable) in proxy statements or other filings under applicable law or stock exchange rules or listing standards, information in connection with assessing eligibility, independence, and other criteria applicable to directors, and a fully completed, true and accurate copy of the D&O Questionnaires and other reasonable and customary director onboarding documentation. The Purchasers agree that each of ▇▇▇▇ ▇▇▇▇, ▇▇▇▇▇▇▇ ▇▇▇▇▇▇▇▇ and ▇▇▇▇▇▇▇ ▇▇▇▇▇▇▇▇ shall be required to provide the Company with such information as reasonably requested from all members of the Company’s board as is required to be disclosed under applicable law or stock exchange regulations, in each case as promptly as necessary to enable the timely filing of the Company’s proxy statement and other periodic reports with the SEC.
